Terms and Conditions for Wirevision

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a binding legal agreement between you ("User", "you", or "your") and Wiretronic AB. Wirevision is a registered trademark and subsidiary of Wiretronic; references to "Wirevision" in these Terms refer to that subsidiary and its provision of the Wirevision mobile application and related services (the "App"). For the purposes of these Terms, "Wiretronic", "Wirevision", "we", "us", and "our" may be used interchangeably when referring to Wiretronic AB and its subsidiaries and affiliates. By accessing, downloading, installing, using, or otherwise interacting with the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.

2. Definitions

For the purposes of these Terms, "Content" means any images, photographs, text, metadata, annotations, or other data submitted, uploaded, or otherwise provided by Users through the App; "Models" means Wirevision's algorithms, trained machine learning and computer vision models, classifiers, datasets and related documentation; and "Services" means the App together with any ancillary services provided by Wirevision in connection with the App.

3. License Grant and Restrictions

Subject to your compliance with these Terms, Wiretronic and its affiliates (including Wirevision) grant you a limited, non-exclusive, revocable license to use the App solely for your internal business purposes and only in accordance with the documentation and intended functionality. You shall not (and shall not permit any third party to):

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App or Models;
• Remove, obscure, or alter any proprietary notices contained within the App or on any output produced by the App;
• Use the App to train competing models or to provide services that compete with Wirevision;
• Circumvent or defeat any technological protection measures used by Wirevision to protect the App.

4. User Content; Rights, Warranties and License

You retain ownership of Content you submit to the App. By submitting Content, you represent and warrant that you have all rights, licenses, consents and permissions necessary to submit such Content and to grant the rights and licenses set forth below. You hereby grant Wiretronic and its affiliates (including Wirevision) a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, prepare derivative works of, display and perform such Content in connection with providing and improving the Services, including training and evaluating Models. This license includes the right to store and analyze Content, to publish aggregated and anonymized results, and to develop, test, and improve the Models and Service offerings.

5. Acceptable Use and Prohibited Content

You agree not to submit Content that, in whole or in part, is unlawful, infringing, obscene, defamatory, pornographic, harassing, discriminatory, or that violates applicable law or third-party rights. Without limiting the foregoing, you shall not upload identifiable personal data (such as unconsented photographs of third parties, license plates, or other personal identifiers) unless you have all necessary consents and have complied with applicable data protection laws. Wirevision reserves the right, but not the obligation, to remove, block, or refuse any Content that it deems to violate these Terms or applicable law.

6. Privacy and Data Protection

Wiretronic (including Wirevision) processes Content and usage data in accordance with its Privacy Policy. Where applicable, Wiretronic acts as a controller or processor of personal data and will implement appropriate technical and organizational measures to protect personal data. You are responsible for ensuring that your submission and processing of personal data comply with applicable laws, including obtaining any necessary consents and providing requisite notices.

7. Model Behavior; No Guarantee of Accuracy

The App uses machine learning and computer vision Models which are inherently probabilistic. Wiretronic provides the Services through its Wirevision product on an "as-is" basis and does not guarantee that the Models will correctly identify items in every instance. You acknowledge that Model outputs may be incomplete, inaccurate, or biased and should be treated as advisory. You will exercise independent judgment and verification before relying on any output for safety-critical or regulatory compliance purposes.

8. Intellectual Property

Except for the limited license expressly granted above, Wiretronic and its licensors retain all right, title and interest, including all intellectual property rights, in and to the App, Models, Services, and any derivative works or improvements thereto. No rights are granted to you other than as expressly set forth in these Terms.

9. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend and hold harmless Wiretronic and its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys fees) arising out of or in any way connected with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) Content you submit to the App.

10. Disclaimers and Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED BY WIRETRONIC, THE SERVICES AND THE APP ARE PROVIDED "AS IS" AND WIRETRONIC AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHER, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WIRETRONIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. FOR THE AVOIDANCE OF DOUBT, ALL OWNERSHIP, TITLE AND INTELLECTUAL PROPERTY RIGHTS IN AND TO THE APP, THE MODELS, THE UNDERLYING DATASETS, AND ANY OUTPUTS OR RESULTS GENERATED BY THE MODELS (COLLECTIVELY, "WIRETRONIC IP") ARE AND SHALL REMAIN THE EXCLUSIVE PROPERTY OF WIRETRONIC AND/OR ITS LICENSORS; NO OWNERSHIP OR INTELLECTUAL PROPERTY RIGHT IN WIRETRONIC IP IS TRANSFERRED TO YOU UNDER THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIRETRONIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, EVEN IF WIRETRONIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WIRETRONIC'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS SHALL BE SUBJECT TO APPLICABLE LAW AND ANY LIMITATIONS PROVIDED THEREIN; WHERE PERMITTED BY APPLICABLE LAW, WIRETRONIC'S LIABILITY FOR DIRECT DAMAGES SHALL BE LIMITED TO DIRECT DAMAGES PROVEN TO HAVE BEEN CAUSED BY WIRETRONIC.

11. Termination

Wiretronic (through its Wirevision subsidiary and affiliates) may, in its sole discretion, suspend or terminate your access to the App at any time and for any reason, including if you breach these Terms. Upon termination, any licenses granted under these Terms will terminate and you must cease all use of the App. Sections pertaining to Intellectual Property, Indemnity, Disclaimers, Limitation of Liability, and Miscellaneous will survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of Sweden, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent courts located in Stockholm, Sweden, unless the parties agree otherwise in writing.

13. Changes to Terms

Wiretronic may revise these Terms from time to time. If Wiretronic makes material changes, Wiretronic will provide notice through the App or by other means reasonably calculated to inform you. Continued use of the App after notice constitutes acceptance of the revised Terms.
